1. Acceptance of Terms

  • Policy analysis and institutional strengthening

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

3. Client Responsibilities

As a client of Herise Consulting, you agree to:

  • Provide accurate and complete information necessary for service delivery
  • Cooperate with our team and provide timely feedback
  • Make payments according to agreed terms and schedules
  • Respect intellectual property rights
  • Maintain confidentiality of sensitive information shared during engagements
  • Use our services in compliance with applicable laws and regulations

4. Intellectual Property Rights

All content, materials, methodologies, and deliverables created by Herise Consulting remain our intellectual property unless otherwise specified in a written agreement. This includes:

  • Proprietary methodologies and frameworks
  • Training materials and curricula
  • Assessment tools and instruments
  • Reports and analysis templates

Clients receive a license to use deliverables for their intended purpose but may not reproduce, distribute, or commercialize our intellectual property without written consent.

5. Confidentiality

We understand the sensitive nature of consulting engagements and commit to maintaining strict confidentiality regarding:

  • Client organizational information and data
  • Strategic plans and business information
  • Financial information and projections
  • Personnel and operational details

This confidentiality obligation continues beyond the termination of our engagement and applies to all team members and subcontractors.

6. Payment Terms

Payment terms are specified in individual service agreements and typically include:

  • Payment schedules based on project milestones
  • Invoice payment terms (typically 30 days)
  • Late payment fees and interest charges
  • Currency and payment method specifications

We reserve the right to suspend services for overdue payments and may engage collection agencies for significantly delinquent accounts.

7. Limitation of Liability

Herise Consulting's liability is limited to the total amount paid for services under the specific engagement. We are not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Damages resulting from client's failure to implement recommendations
  • Third-party actions or decisions based on our deliverables

Our recommendations are advisory in nature, and implementation decisions remain solely with the client.

8. Termination

Either party may terminate an engagement with written notice as specified in the service agreement. Upon termination:

  • Payment is due for all services rendered to the termination date
  • Confidentiality obligations continue
  • Work products completed to date will be delivered
  • Both parties will return confidential materials

9. Governing Law

These terms are governed by the laws of Somalia. Any disputes arising from these terms or our services will be resolved through:

  • Good faith negotiation between parties
  • Mediation by a mutually agreed mediator
  • Arbitration under Somali commercial arbitration rules
  • Jurisdiction of Somali courts as a last resort

10. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on our website with an updated effective date. Continued use of our services after changes constitutes acceptance of the new terms.

For significant changes affecting existing engagements, we will provide direct notification to affected clients.
